- Definitions:
1.1 In these Terms and Conditions the following words, phrases and expressions shall bear the following meanings, unless the context demands otherwise:
1.1(a) Agreement means the agreement made between you and us relating directly or indirectly to the use of the service provided and paid for.
1.1(b) User means any person, partnership or business (including paid Subscribers) who enters and browses the website for any reason.
1.1(c) Service means the service provided by us to paid Subscribers.
1.1(d) We, Us, Our means Codecast Developments Ltd, 1 De La Hay Avenue, Pennycomequick, Plymouth, Devon, PL3 4HS, Company registered in England No 6683338.
1.1(e) Website means our website provided at www.gtmuk.com or any other site released by Codecast Developments Ltd from time to time.
1.1(f) You, Your, Yourself means any person or corporate body who applies for, and is granted, full paid or unpaid membership of the website.
1.1(g) Paid Subscribers means any person or corporate body who has paid monies to use a Website or any other Service provided by Codecast Developments Ltd.
- Terms of use:
2.1 The user must read this section carefully and fully understand the obligations laid out before him/her prior to applying for or using membership of any Service provided by Codecast Developments Ltd, if the user does not agree to be bound by these terms and conditions then he/she should not continue to use the service.
2.2 By accepting these conditions the user confirms the following:
2.2(a) The user is exactly or over 18 years of age.
2.2(b) The user knows of no reason why they may not legally engage in Transport related activities including the use of services provided on this, or other Codecast Developments Ltd websites.
2.2(c) The user understands that they have an obligation under the terms of this agreement to declare any reason that would prevent the moral or legal use of this website and that failure to declare such reasons will render them liable to penalties including, but not limited to, removal of service or termination of membership without prior notice.
2.2(d) the user may not apply for membership of the website if they do not agree to the provisions laid out and in place; an application for membership signifies acceptance of all terms and conditions laid down and published by Codecast Developments Ltd.
2.2(e) The user will pay a one time fee to activate a Premium membership with GTMUK.com, an additional monthly fee will be required to access the services provided and to keep the account open.
2.2(f) The user may lapse payments of the monthly subscription as and when they choose but should be aware that a lapse in payments will result in the suspension of all Premium services. Premium services will resume upon recommencement of monthly payments being received. The activation fee to commence membership is a one time payment and will not need to be paid again in the event of suspension and/or recommencement of Premium membership.
Codecast Developments Ltd reserve the right to alter and/or amend these terms and conditions from time to time, users are encouraged to visit this page periodically to review the terms and conditions in place, any changes to the terms and conditions will be highlighted and prior notice of not less than 30 days will be provided to all paid subscribers via the relevant message board. Service is provided at the sole discretion of the management and an application for paid or unpaid membership does and will not indicate acceptance of the same.
- The Website & Services offered therein
3.1 Access to the complete website and full range of services is supplied only to paid subscribers, partial access is granted based on the level of membership requested and paid for where applicable, membership may be increased or decreased by the member as deemed appropriate.
3.2 The website and services supplied are provided to assist the subscriber in the procurement of services and/or paid employment, the subscriber acknowledges that no contract exists or is implied between Codecast Developments Ltd and the subscriber other than as laid down in clause 2.2(e).
3.3 Codecast Developments Ltd retain full Intellectual Property rights relating to content published on the Website, downloadable material may be used with relevant permissions only.
- The Message Board & Additional Services
4.1 Codecast Developments Ltd will make a message board available to paid subscribers and non paid users alike, access to all areas of the message board will only be granted to paid subscribers otherwise a partial service is offered to non paid users who can prove their identity and current involvement in the transport industry.
4.2 We reserve the right to monitor and, at our absolute discretion, remove, for any reason, photographs, offensive content and comments likely to cause alarm or distress, we further reserve the right to remove racially motivated comments and comments likely to offend users and/or subscribers of the message boards.
4.3 Illegal material posted onto our message boards will be removed and, where appropriate, the relevant authority contacted, user visits will be recorded by means of IP address and this information will be retained and, if requested, made available to the relevant authority upon request.
4.4 The message board is supplied outside of the terms laid down in clause 2.2(e) and access to it may be removed at the absolute discretion of Codecast Developments Ltd, subscription to the website does not automatically entitle the subscriber to use the message board, this service is supplied by us, to you, as a free service and may be removed at any time.
- Payment and Subscriptions
5.1 A subscription is required to access all areas of the GTMUK.com website including the services offered within.
5.2 We will publish the cost of membership and on the GTMUK.com website, all prices shown will be exclusive of VAT payable at the current rate, these charges may vary from time to time but each started contract shall be deemed ongoing and therefore prices will be held at the agreed rate for the agreed period of subscription.
5.3 A legally binding contract shall exist between you and us only when we are satisfied that all requirements have been fulfilled, these include, but are not limited to;
- A correctly completed application for membership form.
- Payment of the initial fee followed by one advance payment of the monthly fee.
- Proof of identity.
- Proof of Insurance cover (where applicable).
5.4 Upon receipt of monies due we will supply a password so the user may access relevant areas of the website and/or message board as per their membership agreement, members are not allowed, under any circumstance, to share passwords and any evidence of password sharing will result in immediate suspension, and possible termination of service to the member(s) concerned.
5.5 The user agrees to pay any monies due to us in a timely fashion using the payment methods indicated on the website, failure to pay the subscription fee will result in a termination of service. Service may and will be resumed at the subscriber’s request, once the relevant fee has been paid.
5.6 Either party may terminate this agreement at any time and for any reason, termination of service will be effective upon that party sending written notice by post, email or any other form of written communication stating their intentions.
5.7 Monies paid in respect of Premium accounts and membership of GTMUK.com are generally non refundable and termination of service, by either party, will not entitle the user to a full or partial refund of monies paid. An exception will be made in cases of extreme hardship or extraordinary circumstances expressly at the discretion of the management.
5.8 Codecast Developments Ltd reserve the right to amend and alter payment methods as we see fit, we will endeavour to offer members the easiest payment options possible but this may be subject to change, we further reserve the right to add any legal fees encountered whilst pursuing bad debts and/or failed payments, in addition, we will pass on any Bank fees encountered as a result of bad cheques or returned payments and will add interest to any outstanding debt at a rate of 5% above the Bank of England base rate to be calculated and charged on a daily basis.
- Limitations on Liability
6.1 Codecast Developments Ltd offers no assurance that this service will meet your requirements nor are we able to confirm the existence or accuracy of GTM posts made by third parties using the website.
6.2 The website may contain errors both written and implied however we expressly exclude all liability for losses and/or damage caused as a result of publication errors.
6.3 Codecast Developments Ltd, it's Directors, shareholders, staff, partners and associates will not be liable for any loss or damage howsoever arising in connection with this website.
6.4 Codecast Developments Ltd will not be liable for losses incurred due to the failure of third parties, these include, but are not limited to; SMS system failure, late SMS delivery, Email, Fax or Telephone system failure, loss and/or corruption of data (howsoever occurring) misleading, inaccurate or false information posted onto the GTM pages and/or message board, any breach of contract by a third party subscriber.
6.5 All contracts and agreements entered into as a result of using our service are the responsibility of the parties directly involved and will not involve Codecast Developments Ltd, we may act as mediator in the event of problems arising between users of our service but this in no way implies liability and we will remain impartial in all cases.
6.6 These limitations are not intended to replace or otherwise reduce the users statutory rights.
- Indemnity
7.1 You agree to indemnify and keep indemnified Us against any and all losses, proceedings, lost profits, damages, awards, expenses, costs (including increased administration costs and legal costs on a full indemnity basis), claims, actions and any other losses and/or liabilities suffered by Us and arising from and/or relating to Your use of the Service, information and/or other material Posted on the Service by You and/or arising from or due to any breach of contract, any omission and/or any breach of statutory duty by You.
- Use of the Website & User Obligations
8.1 This service is provided on both a paid and unpaid basis by Codecast Developments Ltd trading as GTMUK.com, the following standards are demanded of all users.
8.2 We expect all users and subscribers to act in a professional & moral manner at all times, members are required to adhere to the rules of the website and message board and may not;
- Post knowingly inaccurate, false or misleading information.
- Publish any material that is illegal or subject to copyright law without the express consent of the copyright owner.
- Use this service to promote any other service not directly related to your registered business without our express written consent.
- Attempt to solicit member details by means of mass email and/or telephone campaigns or otherwise attempt to copy and/or reproduce member lists or contact details.
- Copy, in whole or in part, any item, article or publication shown on this website or any website owned by Codecast Developments Ltd without prior written permission.
- Attempt to share an account with a third party.
- Post any chain letter and/or Junk email to the membership.
- Post, Publish or Transmit any item that is, in the opinion of Codecast Developments Ltd staff, deemed to be sexually explicit, racist, abusive, threatening, sexually suggestive, libellous and/or obscene.
8.3 Vendors are required to pay for the services of Couriers they employ via GTMUK.com in strict accordance with the terms and conditions laid down and agreed to at the time of the contract being formed, if vendors ignore the terms and conditions agreed then the courier may approach GTMUK.com to register a complaint. In the event that we receive two complaints of non-compliance during any continuous six month period GTMUK.com reserves the right to suspend the membership of the vendor concerned until such time as all complaints are satisfied and subsequently withdrawn.
8.4 In the event of suspension; all Premium membership facilities will be withdrawn from the member concerned, there is no limit to the length of suspension.
8.5 No refund of any monies paid by the suspended member will be made, members have a duty to act in a responsible and professional manner and failure to abide by agreed terms and conditions shall constitute gross misconduct and may lead to suspension and/or termination of services.
8.6 In all instances; complaints are to be made in writing and are to be supported by evidence to support the complaint, this may take the form of signed terms and conditions or copies of delivery notes (PODs) and/or emails. Members making a complaint must be able to prove the complaint in order for GTMUK.com to take action.
8.7 GTMUK.com will remain impartial in all matters relating to complaints and will take no side in any dispute, we will act as mediators if approached and will seek to reach a conclusion agreeable to both parties, we will not be drawn on issues of right or wrong and will simply seek speedy resolution on behalf of our members.
8.8 Complaints originating from work not booked via GTMUK.com or taken directly from the vendor are beyond our control and will not be registered, we remind all members that it is their responsibility to know who they are dealing with and to act accordingly at all times.
- Guarantee
9.1 We do not offer any warranty that any of the information and/or material provided on the website or message board, by ourselves or by our members, is accurate.
9.2 We do not offer any warranty in regard to the availability of the service and/or uninterrupted and consistent use of the service.
9.3 We do not offer any warranty in regard to statements made, or services rendered, by our subscribers or their agents.
9.4 We will, to the best of our ability, ensure that the website is available for members to use whenever possible and we will further ensure, to the best of our ability, that third party suppliers maintain an effective service so that we may provide continuity to our membership.
9.5 We will, process all payments quickly and will act responsibly with our members interests in mind at all times.
9.6 We will maintain effective communication with our members.
9.7 We will deal, quickly and efficiently, will subscribers or users who flout our rules and who make the website and/or message board an unpleasant place for our other members to visit.
